Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ZuriPay's payment processing services, API, dashboard, and website (collectively, the “Services”) provided by Lioncap Ventures (Private) Limited, trading as ZuriPay (“we”, “our”, or “us”). By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Definitions

  • “Merchant” means any business or individual who registers for a ZuriPay account to accept payments.
  • “Customer” means any end-user who makes a payment through ZuriPay to a Merchant.
  • “Transaction” means any payment processed through the ZuriPay platform.
  • “API” means ZuriPay's Application Programming Interface used to integrate payment processing into Merchant applications.
  • “Dashboard” means the web-based administration panel at dashboard.zuripay.app.
  • “Settlement” means the transfer of collected funds to a Merchant's designated bank account.

2. Eligibility

To use our Services, you must: (a) be at least 18 years of age; (b) be a registered business or sole trader legally operating in Zimbabwe or a jurisdiction where we offer our Services; (c) provide accurate, complete, and current registration information; and (d) comply with all applicable laws and regulations, including anti-money laundering and counter-terrorism financing laws.

3. Account Registration and Security

When you register for a ZuriPay account, you agree to:

  • Provide truthful, accurate, and complete information during registration and keep it updated.
  • Maintain the confidentiality of your account credentials, including API keys (both test and live keys).
  • Immediately notify us of any unauthorised access to your account or API keys.
  • Accept responsibility for all activity that occurs under your account, including actions by team members you grant access to.
  • Not share, transfer, or assign your account to another party without our written consent.

We reserve the right to suspend or terminate accounts that provide false information or fail to complete required verification.

4. Payment Processing Services

ZuriPay provides the following payment processing services:

  • Card Payments: Acceptance of Visa and Mastercard payments through our secure hosted checkout or API.
  • Mobile Money (EcoCash): Collection of EcoCash mobile money payments with instant confirmation.
  • ZimSwitch: Processing of local debit card transactions through Zimbabwe's national switching network.
  • Payment Links: Generation of shareable payment links that can be sent via WhatsApp, email, SMS, or any messaging platform.

We act as a payment facilitator and do not hold funds in trust. All transactions are processed through licensed acquiring banks and payment processors.

5. Fees and Pricing

Transaction fees are charged as a percentage of each successfully processed payment:

  • No setup fees, no monthly fees, and no minimum transaction requirements.
  • Fees are deducted from the transaction amount before settlement.
  • Enterprise customers may negotiate volume-based pricing by contacting our sales team.
  • We reserve the right to update fees with at least 30 days' written notice. Continued use after the notice period constitutes acceptance of new fees.
  • Chargebacks, reversals, and refunds may incur additional fees as outlined in our Refund Policy.

6. Settlements

Funds from successfully processed transactions are settled to your designated bank account on a schedule determined by your plan tier: standard settlement for Starter accounts, faster settlement for Business accounts, and same-day settlement for Enterprise accounts. We may hold funds for an extended period if we reasonably suspect fraud, identify excessive chargebacks, or need to conduct additional verification. Settlement currencies supported are USD and ZWG.

7. Prohibited Activities

You may not use our Services for:

  • Any illegal activity under Zimbabwean or international law
  • Money laundering, terrorist financing, or sanctions evasion
  • Fraud, deception, or misrepresentation
  • Sale of counterfeit, stolen, or prohibited goods
  • Processing transactions on behalf of undisclosed third parties
  • Circumventing exchange control regulations
  • Activities that could damage our reputation or infringe on intellectual property rights
  • Accessing our systems in an unauthorised manner or attempting to compromise security

We reserve the right to immediately suspend or terminate your account and report suspicious activity to relevant authorities if prohibited activities are detected.

8. API Usage and Integration

Use of our API is subject to our API documentation and these Terms. You agree to: use the API only for its intended purpose of payment processing; keep your API keys confidential and rotate them regularly; not exceed reasonable rate limits or use the API in a way that degrades service for other users; test integrations in our staging environment before deploying to production; and comply with any additional guidelines published in our documentation at docs.zuripay.co.zw.

9. Intellectual Property

All intellectual property rights in the ZuriPay platform, including the brand name, logo, website content, documentation, and software, remain the property of Lioncap Ventures (Private) Limited. You are granted a limited, non-exclusive, non-transferable licence to use our Services for their intended purpose. You may not copy, modify, distribute, or reverse-engineer any part of our platform without written permission.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our Services are provided “as is” and “as available” without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
  • Our total liability for any claim arising from these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.
  • We are not responsible for failures caused by third-party payment processors, banks, network outages, or force majeure events.

11. Indemnification

You agree to indemnify, defend, and hold harmless ZuriPay and Lioncap Ventures (Private) Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: your use of our Services; your breach of these Terms; your violation of any law or regulation; or any dispute between you and your customers relating to transactions processed through our platform.

12. Termination

Either party may terminate this agreement at any time with 30 days' written notice. We may suspend or terminate your account immediately without notice if: you breach these Terms; we suspect fraud or prohibited activity; we are required to do so by law or regulation; or your account has been inactive for more than 12 months. Upon termination, any outstanding settlements will be processed subject to any applicable holds. Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

13. Dispute Resolution

These Terms are governed by the laws of Zimbabwe. Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, either party may submit the dispute to arbitration in Harare, Zimbabwe, under the rules of the Arbitration Act (Chapter 7:15). Each party shall bear its own costs unless the arbitrator determines otherwise.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email and/or a prominent notice on our website at least 30 days before they take effect. Your continued use of our Services after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using our Services before the effective date.
